Terms of Service

Article 1 (Scope and Agreement)

  1. These Terms of Service ("Terms") govern the use of the high-quality Japanese matcha and sweets subscription box service and all related services (collectively, "the Service") provided by [Your Brand Name] ("the Company," "we," "us," or "our").

  2. By registering for or using the Service, you ("User") agree to all provisions of these Terms.

Article 2 (Registration)

  1. Users must agree to these Terms and apply for registration as prescribed by the Company. Registration is complete upon the Company's approval.

  2. The Company may reject a registration application if it determines that the applicant has provided false information, has previously violated the Terms, or if the application is otherwise deemed inappropriate. The Company is not obligated to disclose the reasons for rejection.

Article 3 (Subscription and Payment)

  1. Subscription Contract: By purchasing a subscription, you acknowledge that it has an initial and recurring payment feature, and you accept full responsibility for all recurring charges until cancellation.

  2. Auto-Renewal: Your subscription will automatically renew at the then-current subscription rate until you complete the cancellation procedure.

  3. Cancellation Policy: To cancel your subscription, you must do so online through the Customer Portal on our website at least 48 hours prior to your next scheduled renewal date.

  4. Fees and Payment: You shall pay the fees for the Service via credit card or other methods specified by the Company. In case of delayed payment, we may suspend the Service or cancel your registration.

  5. Changes to Plans and Pricing: We reserve the right to change our service plans and pricing. We will provide you with prior notice of any such changes via our website or by email.


Article 4 (Returns and Exchanges)

  1. Defective Products: You may request a return or exchange for defective or incorrect products within 7 days of delivery.

  2. Customer Convenience: As a rule, returns or exchanges for non-defective products for your convenience are not accepted.

  3. Satisfaction Guarantee: As an exception, we may accept returns for specific products you are dissatisfied with, provided they are unused and in their original condition (including packaging and accessories). Please check the product page for details.

  4. Conditions for Return: Returns are not accepted for opened or used products, items returned after 7 days, or items missing original packaging.

  5. Return Shipping Costs: You are responsible for return shipping costs unless the return is due to a defect or our error.

  6. Return Procedure: You must contact us in advance to obtain a Return Authorization Number (RMA). Returns without an RMA will not be accepted.

  7. Final Sale Items: Items marked as "Final Sale" are not eligible for returns or exchanges.

Article 5 (Allergen Disclaimer)

The Company does not guarantee the completeness or accuracy of information regarding specific allergens in the products provided. Users with food allergies or dietary restrictions must assess the suitability of the products at their own risk. We shall not be liable for any health issues arising from the consumption of our products.

Article 6 (Intellectual Property Rights)

All copyrights, trademarks, patents, and other intellectual property rights related to the Service (including but not limited to text, graphics, and code) are the property of the Company or their respective rightful owners. Users may not use this information for commercial purposes without prior permission.

Article 7 (User-Generated Content)

By sharing or submitting any data, such as photos or comments ("UGC"), through the Service, you grant the Company a worldwide, non-exclusive, royalty-free license to use, reproduce, create derivative works of, display, and perform the UGC for our business purposes. You represent and warrant that your UGC does not infringe upon any third-party rights.

Article 8 (Prohibited Conduct)

Users shall not engage in the following acts:

  • Violating laws or public order.

  • Acts related to criminal activity.

  • Interfering with the operation of our Service.

  • Collecting or storing personal information about other users.

  • Using the Service for fraudulent purposes.

  • Any other conduct deemed inappropriate by the Company.

Article 9 (Suspension of the Service)

The Company may suspend or interrupt all or part of the Service without prior notice to Users in the event of system maintenance, force majeure (such as natural disasters), or other circumstances deemed necessary. The Company shall not be liable for any damages incurred by Users as a result.

Article 10 (Disclaimer of Warranties and Limitation of Liability)

  1. We do not warrant that the Service will be suitable for a User's specific purpose or possess any expected function, commercial value, accuracy, or usefulness.

  2. The Site and products are provided "as is" and "as available" without warranties of any kind, either express or implied, including warranties of merchantability and fitness for a particular purpose.

  3. Except in cases of willful misconduct or gross negligence, the Company shall not be liable for any damages incurred by Users arising from the use of the Service. If this clause is deemed invalid under applicable consumer protection laws, our liability shall be limited to the amount of the fee received from the User in the month the damage occurred.

  4. Liability for injury or damage caused by products rests solely with the product's manufacturer.

Article 11 (Indemnification)

You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from and against all losses, liabilities, expenses, and damages (including reasonable attorneys' fees) resulting from any violation of these Terms or any activity related to your use of the Site.

Article 12 (Handling of Personal Information)

The Company handles Users' personal information in accordance with its Privacy Policy. California residents have rights under the California Consumer Privacy Act (CCPA).

Article 13 (Personal Import)

  1. Treatment as Personal Import: All products are shipped directly from Japan to the User and are treated as a "personal import." Products are for personal use only; resale is strictly prohibited.

  2. Import Duties and Taxes: You are solely responsible for any duties, consumption taxes, or other import-related fees levied by your country.

  3. Import Regulations: You are responsible for ensuring that the products comply with your country's laws. We are not responsible for products rejected, disposed of, or returned by customs.

Article 14 (Amendments to the Terms)

The Company reserves the right to amend these Terms without User consent when deemed necessary. The amended Terms will become effective when posted on the Company's website.

Article 15 (Governing Law and Jurisdiction)

  1. These Terms shall be governed by and construed in accordance with the laws of Japan.

  2. For U.S. Consumers: Unless otherwise agreed in writing, disputes may be resolved in the courts of the User's state of residence.

  3. In all other cases, any disputes arising in connection with the Service shall be subject to the exclusive jurisdiction of the courts governing the location of the Company's head office in Japan.

Article 16 (Dispute Resolution)

  1. Class Action Waiver: Users waive the right to file class-action lawsuits against the Company. All disputes must be resolved on an individual basis.

  2. Arbitration: Disputes not resolved through good-faith discussions will be submitted to arbitration under the rules of the Japan Commercial Arbitration Association (JCAA) in Tokyo, Japan. The arbitrator's decision will be final and binding.
